-
Consumer: a Customer who is a natural person acting for purposes outside their trade, business, craft, or professional activity.
-
Parties: Shops4U and the Customer jointly.
-
Agreement: any agreement between Shops4U and the Customer concerning the sale and delivery of Products.
-
Distance Agreement: an Agreement concluded between Shops4U and a Consumer through an organised distance-sales system without the simultaneous physical presence of the Parties, using one or more means of distance communication.
-
Webshop: the webshop operated through https://www.heizeno.com.
-
Products: all goods offered and supplied by Shops4U, including heaters, accessories, spare parts, fuels, and related products.
-
Offer: any offer made by Shops4U with the intention of concluding an Agreement upon acceptance.
-
Written: communication in writing, including communication by email or another electronic method that allows the information to be stored and reproduced.
ARTICLE 2 | GENERAL PROVISIONS
-
These general terms and conditions apply to every Offer, Agreement, and related legal relationship between Shops4U and the Customer.
-
Any general terms and conditions used by the Customer are expressly rejected, unless Shops4U has accepted them in Writing.
-
Deviations from these general terms and conditions are valid only if expressly agreed in Writing.
-
In the event of a conflict between these general terms and conditions and a specific Written agreement, the specific Written agreement shall prevail.
-
If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in effect. The invalid provision shall be replaced by a valid provision that reflects its original purpose as closely as possible.
-
Mandatory consumer rights cannot be excluded or restricted by these general terms and conditions.
ARTICLE 3 | OFFERS AND CONCLUSION OF THE AGREEMENT
-
Offers made by Shops4U are subject to availability and any stated validity period.
-
The Customer cannot derive any rights from an Offer containing an obvious error, typing mistake, pricing error, or other mistake that the Customer reasonably should have recognised.
-
An Agreement is concluded when Shops4U confirms acceptance of the Customer’s order electronically or otherwise begins processing the order.
-
Shops4U may request additional information before accepting an order, for example for payment, delivery, fraud-prevention, or age-verification purposes.
-
If a Product is unexpectedly unavailable after the Agreement has been concluded, Shops4U will inform the Customer promptly and refund any amount already paid for that Product.
-
A Customer acting on behalf of another person or legal entity declares that they are authorised to do so.
ARTICLE 4 | RIGHT OF WITHDRAWAL
-
A Consumer may withdraw from a Distance Agreement within 14 days without giving a reason.
-
The withdrawal period begins on the day after the Consumer, or a third party designated by the Consumer, receives the Product.
-
If several Products from one order are delivered separately, the withdrawal period begins on the day after the last Product is received.
-
The right of withdrawal does not apply to Products excluded by law, including:
-
Products made according to the Consumer’s specifications or clearly personalised;
-
sealed Products that are unsuitable for return for health-protection or hygiene reasons if the seal has been broken after delivery;
-
Products that, due to their nature, have become inseparably mixed with other goods after delivery;
-
other Products for which the right of withdrawal is legally excluded.
-
-
Any applicable exclusion from the right of withdrawal will be clearly stated before the order is placed.
-
The Consumer may exercise the right of withdrawal by:
-
sending an unambiguous statement to info@heizeno.com; or
-
using the model withdrawal form made available by Shops4U.
-
-
Shops4U will confirm receipt of the withdrawal electronically.
-
After notifying Shops4U of the withdrawal, the Consumer must return the Product within 14 days.
-
During the withdrawal period, the Consumer must handle the Product and its packaging with care. The Consumer may inspect the Product only to the extent necessary to determine its nature, characteristics, and functioning.
-
The Product should preferably be returned complete, with all accessories and, where reasonably possible, in its original packaging.
-
The direct costs of returning a Product are borne by the Consumer, unless Shops4U has expressly agreed otherwise or the Product was delivered incorrectly or defectively.
-
The Consumer is liable for any reduction in value caused by handling the Product beyond what is necessary to inspect it.
-
Shops4U will refund the payments received for the returned Products within 14 days after receiving the withdrawal notice.
-
If the entire order is returned, the refund includes the standard delivery costs charged for the original delivery. Additional costs resulting from the Consumer choosing a more expensive delivery method are not refunded.
-
Shops4U may withhold the refund until the returned Products have been received or the Consumer has provided sufficient proof of return, whichever occurs first.
-
Refunds will be made using the original payment method unless expressly agreed otherwise.
ARTICLE 5 | CANCELLATION OUTSIDE THE WITHDRAWAL PERIOD
-
The statutory right of withdrawal under Article 4 takes precedence over this Article.
-
Outside the statutory withdrawal period, an order can only be cancelled with the Written consent of Shops4U.
-
Shops4U may attach reasonable conditions or costs to such a cancellation, provided these do not conflict with mandatory consumer law.
ARTICLE 6 | DELIVERY
-
Products will be delivered to the address provided by the Customer.
-
The Customer is responsible for providing a complete and accurate delivery address.
-
Delivery times stated in the Webshop are estimates unless expressly agreed as a binding deadline.
-
Shops4U will deliver within the agreed period. If no delivery period has been agreed, a Consumer’s order will normally be delivered no later than 30 days after conclusion of the Agreement, unless another period has been agreed.
-
If delivery is delayed, Shops4U will inform the Customer as soon as reasonably possible.
-
Any shipping costs will be clearly stated before the order is placed.
-
For Consumers, the risk of loss or damage passes to the Consumer when the Consumer, or a designated third party other than the carrier, receives the Products.
-
Additional costs resulting from an incorrect or incomplete delivery address may be charged to the Customer where legally permitted.
ARTICLE 7 | INSPECTION AND COMPLAINTS
-
The Customer is requested to inspect the Products as soon as reasonably possible after delivery.
-
Visible transport damage should preferably be reported promptly to info@heizeno.com, together with the order number and clear photographs.
-
Failure by a Consumer to report visible damage immediately does not automatically remove the Consumer’s statutory rights.
-
A Consumer must notify Shops4U of a suspected lack of conformity within a reasonable period after discovering it. A notification made within two months after discovery is considered timely.
-
A business Customer must report visible defects promptly and hidden defects within a reasonable period after discovery.
-
A complaint must contain sufficient information to allow Shops4U to investigate it, including where applicable:
-
the order number;
-
a description of the problem;
-
photographs or video material; and
-
relevant information concerning the use of the Product.
-
-
Shops4U will respond to complaints within a reasonable period.
-
Submitting a complaint does not automatically suspend a payment obligation, unless mandatory law provides otherwise or Shops4U agrees to the suspension.
-
The Parties will first attempt to resolve complaints and disputes amicably.
ARTICLE 8 | LEGAL GUARANTEE AND CONFORMITY
-
Consumers are entitled to the statutory guarantee that a Product must conform to the Agreement and possess the qualities that the Consumer may reasonably expect.
-
Statutory conformity rights are not limited to a fixed two-year commercial warranty period. The expected lifespan and nature of the Product, its price, and statements made about it may be relevant.
-
If a Product does not conform to the Agreement, the Consumer may be entitled to free repair or replacement in accordance with applicable law.
-
If repair or replacement is impossible, cannot be carried out within a reasonable period, or cannot be provided without significant inconvenience, the Consumer may be entitled to an appropriate price reduction or termination of the Agreement.
-
Any manufacturer’s or commercial warranty is additional to the Consumer’s statutory rights and does not restrict those rights.
-
Warranty or conformity claims may be rejected where the defect was caused by:
-
improper or unsafe use;
-
failure to follow operating or maintenance instructions;
-
normal wear and tear;
-
an external cause;
-
modifications or repairs performed without authorisation; or
-
use of unsuitable fuels, parts, or accessories.
-
-
If an incorrect Product was delivered, the Customer must contact Shops4U. Shops4U will arrange an appropriate solution and bear the reasonable return costs if the incorrect delivery is attributable to Shops4U.
ARTICLE 9 | FORCE MAJEURE
-
Shops4U is not liable for delays or failure to perform caused by circumstances beyond its reasonable control.
-
Such circumstances may include fire, extreme weather, transport disruptions, government measures, war, civil unrest, epidemics, power outages, telecommunications failures, supplier failures, and other unforeseen events.
-
Shops4U will inform the Customer if a force-majeure event materially affects performance.
-
Obligations affected by force majeure are suspended for the duration of the event.
-
If performance remains impossible or is delayed for an unreasonable period, either Party may terminate the affected part of the Agreement.
-
Following termination, Shops4U will refund payments received for Products that have not been delivered.
-
Mandatory consumer rights remain unaffected.
ARTICLE 10 | SUSPENSION AND TERMINATION
-
Shops4U may suspend performance if the Customer fails to meet an enforceable payment or cooperation obligation.
-
Except where immediate termination is legally permitted, Shops4U will first give the Customer a reasonable opportunity to remedy the failure.
-
Shops4U may terminate the Agreement if the Customer fails to remedy a material breach within the stated period.
-
Termination is not permitted where the breach is too minor to justify it.
-
On termination, amounts lawfully owed become immediately payable.
-
These provisions do not restrict any statutory cancellation, termination, or conformity rights of Consumers.
ARTICLE 11 | PRICES AND PAYMENT
-
Consumer prices displayed in the Webshop include VAT unless expressly stated otherwise.
-
Delivery costs and other mandatory charges are displayed before the order is placed.
-
Payment must be made using one of the payment methods offered during checkout.
-
Where advance payment is required, Shops4U is not required to dispatch the Products before payment has been received.
-
Invoices and payment confirmations may be issued electronically.
-
A Consumer who fails to pay on time will only owe statutory interest after being legally in default.
-
Extrajudicial collection costs may only be charged to a Consumer after the Consumer has received the legally required payment reminder and an additional payment period of at least 14 days.
-
Business Customers may owe statutory commercial interest and reasonable collection costs in accordance with applicable law.
-
A Consumer’s statutory right to suspend payment or invoke set-off is not excluded.
ARTICLE 12 | LIABILITY
-
Shops4U is responsible for damage attributable to a failure to comply with the Agreement, subject to applicable law.
-
Nothing in these general terms and conditions excludes or limits liability where such exclusion or limitation is prohibited by law.
-
Liability is not excluded for damage resulting from intent, deliberate recklessness, fraud, death, or personal injury caused by Shops4U.
-
Statutory consumer rights concerning defective or non-conforming Products remain unaffected.
-
For business Customers, Shops4U is not liable for indirect damage, loss of profit, loss of turnover, business interruption, missed savings, or loss of data, except where mandatory law provides otherwise.
-
Where legally permitted, Shops4U’s liability towards a business Customer is limited to the invoice value of the relevant Agreement or, if higher, the amount paid under Shops4U’s liability insurance for the claim.
-
Shops4U is not liable for damage caused by incorrect or incomplete information supplied by the Customer.
-
The Customer must take reasonable measures to prevent or limit damage.
ARTICLE 13 | RETENTION OF TITLE
-
Products remain the property of Shops4U until the Customer has paid all amounts due under the relevant Agreement.
-
Until ownership has transferred, the Customer may not sell, pledge, or otherwise encumber the Products, except in the normal course of business where applicable.
-
If the Customer fails to meet their payment obligations, Shops4U may take lawful measures to recover the Products.
-
Shops4U may not enter private premises without permission or another valid legal basis.
ARTICLE 14 | FINAL PROVISIONS
-
Shops4U may transfer its rights or obligations to a third party, provided this does not reduce the statutory rights of a Consumer.
-
Dutch law applies to Offers, Agreements, and these general terms and conditions.
-
A Consumer retains any mandatory protection granted by the law of the country in which the Consumer habitually resides.
-
The Parties will first attempt to resolve disputes amicably.
-
Disputes will be submitted to the legally competent court.
-
A Consumer may bring proceedings before any court that has jurisdiction under mandatory national or European consumer law.
-
The Dutch version of these general terms and conditions will prevail if a Dutch version is published and a difference in interpretation arises.
